The Importance of Trade-Offs When Evaluating Buyers

Published June 2025

One of the most important words we encourage our clients to consider when selling their accounting or bookkeeping practices is " trade-off " i.e. what are you prepared to trade-off as being of lesser value to you in return for receiving something else of greater value?

Cultural Fit v Price

The most obvious trade-off to think about is Cultural Fit v Price.

In an ideal world the buyer who is the best cultural fit for you, your clients and your team is the one that is willing to meet all of your commercial terms. But what if that buyer wanted to negotiate the price or retention terms? Or the person offering the best commercial terms was not a strong fit for your practice?

In these situations it pays to have an expert in your corner who can help guide you through your decision-making process and help you achieve the strongest possible deal with the right buyer.

Beyond the headline consideration of cultural fit v price, there are numerous other examples where we see trade-offs need to be considered when weighing up different buyers:

1. If you sell to a larger, established firm...

There may be less execution risk because they have acquired practices before, but the degree of change you, your clients and team could face in the first 12 months may be significant.

2. If you sell to an individual starting out...

You may value that very little will change over the first 12 months as they get to grips with your practice, but without the track record of running a practice what additional risks does this create for you - and your retention?

3. If you sell to an interstate buyer...

Much like the individual example above, there may be far less change compared to selling to a practice nearby but how well is the interstate buyer able to support you with your transition and add value to your practice?

4. If you own the premises where your practice operates...

You might be determined to find a buyer who will retain that location and take on a new lease, but does this mean you might miss out on ideal buyers who have sound reasons, and the capacity, to successfully relocate your practice?

The Wrap

There is no such thing as a perfect buyer or a perfect deal.  For sellers, understanding that trade-offs exist and need to be carefully evaluated is fundamental to achieving a successful sale and exit from your practice. (And in the same vein, there is no such thing as the perfect seller, so the same applies to those looking to acquire practices...)
